Just extending on William’s warning – boilerplate legal
documents are Very Convenient™ and great if you need a cheap legal
document to tick a box for some cosmetic, unimportant reason; but usually Not
So Great At All™ if it ever comes to actually disputing them. Which
is kind of the point of a legal document in the first place. Boilerplates as a
rule are horrible in any situation where the outcome of any dispute is
important or critical to you. If it’s critical, the cost of getting the
agreement drafted by a competent lawyer is 200% worth it. Remember that the best
contract is one that keeps you out of court in the first place. That is best achieved
by ensuring all parties are clear on what is being agreed and providing an
effective non-legal dispute resolution mechanism.

If you’re not willing to work with a lawyer, the big question is
– why do you really need a legal document? If you don’t need it don’t use it,
because it will be harder to understand and probably won’t save your neck if it
ever goes to court (often leaving you worse off than if you had no legal
document). We once used a boilerplate contract and later when we had our lawyer
look over it, were advised that it was only enforceable by the other party – the
worst possible scenario. (We promptly amended the contract!) The most important
things about a contract is establishing intent and obligations, and a clear
mechanism for dispute resolution. If you’re not willing to work with a lawyer,
you’re probably better off with a clear non-legal document that everyone
understands – e.g. Keep It Simple and Sweet (for all parties). If everyone’s
happy, there’s no dispute!

When it comes to equity or partnerships, my emphatic (but
non-legally-qualified) advice is Work With A Lawyer (else, be clear that you’re
relying upon goodwill – and go out of your way to preserve it).

Hi Simone,

You probably don’t need a wordpress expert – there’s an easier
way! The easiest way is just sharing the Google doc with the public, and giving
them read-only access. Then link to it from your blog (Sometimes it’s best to
keep it simple!)

If you are really set on publish it to your blog, the easiest
way to do it is actually from Google Docs, who provide a mechanism to publish documents
directly to major blogs. To do this:

I would like to have your advise on the following:

I have a google-docs document with a large database of
people under name, company, function. I want to publish this in my wordpress
blog, for everybody to see in a very simple manner and then be able to change
and update it in the admin of the wordpress. So no double databases, in excell
etc. and then transferring it back and forth to wordpress. Is there a database
plugin for this, or something else?

From my experience a few years ago – it could be quite expensive.

On the recommendation of a friend, I first registered it in New Zealand
which was quite cheap.

If you’re interested in that route I could dig out the patent
attorney’s we used.

Hey,

You are right – there is a lot of valuable information coming
through this list, and it would certainly be useful to aggregate the
information in a meaningful way.

However, I don’t see any point in simply re-publishing the threads
as-is. If people want to index these, then they can simply keep an archive of
the mails in their mail client or webmail client, in a folder or with a special
tag – and search/browse them as needed.

Where the real value would be, is as you say – a crowd sourced
effort – whereby the genuinely useful information coming through the list can
be condensed and re-published (without all of the noise). I’m not sure whether
something out there exists to do it or not, but in my mind the ideal way of
doing this would be a web application that receives all of the emails from the
list and indexes them into a list of threads, with the messages from each
thread listed in that thread – then through a wiki-style approach allows
members of the list to do a write-up of the useful information from that
thread. The site should provide good searching and browsing functionality, and
preferably some keyword categorisation/tagging system.

In this manner (assuming users actually did write-ups), we’d end
up with a website that publishes all of the useful information from the list in
a useful condensed format, while providing access to all of the context
information of the actual thread – without forcing you to trawl through it. A
community mechanism to tag specific thread posts could also be used to “sticky”
certain particularly popular posts. This approach also had the advantage that
even if no write-up is done, the actual thread is still available.

Does anyone know if such a tool actually exists, or if we wanted
it would we have to build it together? If there’s nothing out there that does
this, I can see it being a useful application with a lot of potential uses for
special-interest communities.

Phillip mentioned a similar concept in a previous mail,
where he’s collated a list of the best places to find icons, as suggested by

I read most mails that come through this list, and I’ve seen
an outrageous amount of invaluable content recommended: videos, podcasts, angel

So, the question I ask is, do we think it might be a good idea to collate all
this in some sort of searchable area? Might not be a wiki, but I’m going to
have a look anyway.

It’d have to be a crowd sourced [buzz buzz] effort.

Hi Tom,

I would really strongly recommend you finding an experienced technical person you can trust to come in and help you interview them. Recruitment can be a challenging enough process even with a strong technical team in place.

Differentiating a mediocre technical candidate from a great one will not come from whehter they can create a simple web application (they should *all* be able to do that) but how they approach the problem. And for that, you'd need someone with a technical eye to evaluate it.

Hi everyone.

Long time listener, first time caller.

I was hoping that someone on this group could offer some advice…

We're in the business of building and running online communities for research and innovation, which we deliver to brands and agencys. Part of our proposition is the delivery of our bespoke social network tool.

To date, we have been working with an external agency, who have done a good job at building our product to specification. However, as business ramps up, we are looking to refine the product and introduce new features and services. As such, it has become necessary to recruit a developer, who is versed in the use open source tools (LAMP).

We've looked around and have a good final list of candidates, who we feel could be a good 'fit' to our existing team.

The one area that we have yet to test for is the ability to actually code – including their approach to coding. Not having these skills internally, it is difficult for us to achieve this. As such we were hoping to find some form of test that we could give them.

In my mind, I thinking of a simple 1-2 hour exercise, whereby the candidates could make a simple web application/service/feature, which would demonstrate their skills. We have a friendly developer who could then look through what they have made and give us an idea of their abilities.

Is there such a test that people know of? If not, perhaps there is a different approach that someone has used successfully?

Either way, I would very much appreciate any ideas people may have.

I would really strongly recommend you finding an experienced technical person you can trust to come in and help you interview them. Recruitment can be a challenging enough process even with a strong technical team in place.

Differentiating a mediocre technical candidate from a great one will not come from whehter they can create a simple web application (they should *all* be able to do that) but how they approach the problem. And for that, you'd need someone with a technical eye to evaluate it.

Hi everyone.

Long time listener, first time caller.

I was hoping that someone on this group could offer some advice…

We're in the business of building and running online communities for research and innovation, which we deliver to brands and agencys. Part of our proposition is the delivery of our bespoke social network tool.

To date, we have been working with an external agency, who have done a good job at building our product to specification. However, as business ramps up, we are looking to refine the product and introduce new features and services. As such, it has become necessary to recruit a developer, who is versed in the use open source tools (LAMP).

We've looked around and have a good final list of candidates, who we feel could be a good 'fit' to our existing team.

The one area that we have yet to test for is the ability to actually code – including their approach to coding. Not having these skills internally, it is difficult for us to achieve this. As such we were hoping to find some form of test that we could give them.

In my mind, I thinking of a simple 1-2 hour exercise, whereby the candidates could make a simple web application/service/feature, which would demonstrate their skills. We have a friendly developer who could then look through what they have made and give us an idea of their abilities.

Is there such a test that people know of? If not, perhaps there is a different approach that someone has used successfully?

Either way, I would very much appreciate any ideas people may have.

In all seriousness, there is already mixed opinion on this board regarding people posting about looking for work for themselves. If a line has to be drawn in the sand regarding job-openings and positions wanted, it might be between individuals looking for themselves and recruiters engaged in business for others.

While it's frustrating, it's also worth bearing in mind that at the end of the day, the same paperwork still needs to be filed (although there are some things accountants can reduce at the small scale, such as only filing abbreviated accounts). As far as I understand it, the volume of transactions alone doesn't have a major impact on complexity (assuming they're not auditing you, and you're book-keeping correctly). Generally more transactions means added complexity because you're likely to have staff, or shareholders, or dividends etc which need additional paperwork.

Disclaimer: I am not an accountant, and therefore take the above with a sensible pinch of salt – its purely based on my own experience.
